Part B — General conditions of sale
7. Quotations and contract formation
Prices are never published on this website and are provided only on inquiry. A quotation is valid only for the period stated in it. A binding contract is formed when both parties sign or otherwise confirm in writing an order or proforma invoice; email confirmations and the proforma invoice are the operative documents.
8. Price and payment
Unless otherwise agreed in writing, payment terms are: T/T (30% deposit, 70% before shipment) or L/C at sight. The specific payment schedule for an order is stated on the proforma invoice.
9. Minimum order quantity and lead time
Minimum order quantity is 1 × 20ft container (approx. 600–800 units, model dependent). Indicative lead time is 30–45 days after order confirmation; the confirmed production and delivery schedule is stated in the order confirmation.
10. Delivery and Incoterms
Shipment is made from Tianjin / Shanghai under the Incoterms agreed in writing (FOB Tianjin / CFR / CIF). Title and risk of loss pass to the buyer in accordance with the agreed Incoterm. Full details are in the Shipping & Compliance Policy.
11. Specifications and acceptance
The buyer is responsible for confirming that the ordered model, standard, voltage, capacity, CCA, terminal and polarity fit the intended application. Pre-production samples are provided for approval where agreed. Products are deemed accepted unless the buyer gives written notice of a discrepancy within the period stated in the Return & Refund Policy.
12. Warranty
Products are warranted against manufacturing defects for 12 months from bill of lading date, subject to the exclusions and claim process in the Warranty Policy. The warranty applies only to products supplied under a written order and does not cover misuse, improper installation, deep discharge or physical damage.
13. Intellectual property in OEM / private-label products
Where the buyer supplies its own brand, logo or artwork, the buyer retains its rights in that material and represents that it holds the necessary rights to use it. We use such material solely to produce the ordered products.
14. Confidentiality
Each party agrees to keep confidential the other’s non-public business information (specifications, pricing, volumes, designs) disclosed in connection with an inquiry or order, and not to use it except for the purpose of the transaction.
15. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, strikes, port congestion, epidemic restrictions or changes in law or regulation.
16. Limitation of liability
Except as set out in the warranty, and to the fullest extent permitted by law, the manufacturer’s aggregate liability for any order is limited to the value of the goods supplied under that order, and excludes indirect or consequential loss.
17. Governing law and jurisdiction
These terms and any sale are governed by the laws of the People’s Republic of China. Disputes are subject to the jurisdiction of the courts of Hebei Province, China. In commercial matters the parties may alternatively agree in writing to resolve a dispute by arbitration.
